ABTO annual general meeting

In an email sent out to all the Bhutanese tour operators, the Association of Bhutanese Tour Operators (ABTO) announced the date and the agenda for the forthcoming annual general meeting.

The announcement email read as following:-

As per the decision of the 40th Executive Committee Meeting, the 8th Annual General Meeting (AGM) of the Association of Bhutanese Tour Operators (ABTO), will be held on 23rd May 2008 at Taj Tashi Conference Hall. The 8th AGM which is traditionally scheduled in the beginning of each year has been postponed this year due to the Election.

For the forthcoming 8th AGM we would like to request all tour operators to kindly consider the following: -

  • New Articles of Association (AoA)
  • Election of the Board of Directors

 

New Articles of Association

As per the Civil Society Organisations (CSO) Act enacted during the 87th National Assembly of Bhutan, all CSOs are required to register with the CSO Authority, which will be established by the Government. 

ABTO as an association falls under the Mutual Benefit Organisations (MBOs) under the CSO Act, as such ABTO is required to register with the CSO Authority and ABTO’s Articles of Association has to be in conformity with the CSO Act.

Therefore, the Secretariat has accordingly drafted the attached Articles of Association (AoA), which will be is attached here for members reference and will also be presented during the 8th AGM for general members’ comments, suggestions and endorsement.

Tour Operators are kindly requested to go through the attached DRAFT Articles of Association (AoA). Articles of Association (AoA) as the supreme constitution of the Association, is the foundation of a successful organisation. It is also the basis of strengthening the organisation, transparency and for effective representation of collective interest of all members.

Therefore, it is imperative for all tour operators to go through the Draft Articles of Association (AoA) and give your views and suggestions.

 

Election of the Board of Directors

As per the new Articles of Association, henceforth the President of the Association shall be called Chairperson, Executive Committee Members shall be called Board of Directors and General Secretary as Executive Director.

Election procedure: -

  1. Each member tour operator can nominate 9 candidates representing different companies (Please indicate the name of the company along side the name of the person nominated).
  2. A candidate should secure minimum of 5 nominations to stand for election.
  3. Only Proprietor or Managing Director or Chief Executive Officer of a company can be nominated for the election.
  4. In-case of Partnership companies only one partner securing the maximum nominations can stand for election. In-case of tie (equal votes), the Secretariat will inform the concern company to decide.
  5. One can nominate oneself as contesting candidate.
  6. Currently serving Executive Committee Members (as listed above) can also be nominated, since the AoA will be amended.
  7. Mr. Rinzin O. Wangchuk and Mr. Kinley Gyeltshen of the existing Executive Committee will be part of the electoral team together with the Secretariat to compile the list of nominations received.
  8. Total of nine (9) Board of Directors will be elected during the AGM from among the nominated candidates.
  9. The Chairperson will be elected from among the Board of Directors, in the first session of the Board meeting after the AGM.

Deadlines: -

  1. Nominations of the candidates should reach this office by 9th May 2008.
  2. Nominated candidates for election will be announced on 9th May 2008 by the Electoral Team.
